Terms and conditions
The terms on which VeriLicense quotes, sells and delivers to trade customers. These are business-to-business terms.

Who we are
VeriLicense Ltd is a UK reseller of genuine, traceable enterprise IT. We supply HPE ROK, DDR5 server memory, Cisco and Meraki, Oracle, Microsoft and NVIDIA, plus downloadable software licences. Company number 16056643, registered in the United Kingdom. References to “we”, “us” and “VeriLicense” mean VeriLicense Ltd.
Business customers only
VeriLicense sells to businesses: IT brokers, MSPs, resellers and IT departments. Orders are placed in the course of a business, so the consumer distance-selling rules (including the 14-day cooling-off right) do not apply. The business terms set out below apply instead.
Quotes, orders and acceptance
Quotes are valid for the period stated on the quote and are subject to live stock, supplier confirmation and the part numbers, quantities and specification quoted. A contract forms when we confirm your order or accept payment, not when you submit an enquiry.
Prices are quoted in GBP and shown ex-VAT unless stated otherwise. VAT is applied at the prevailing rate. Approved broker and trade pricing applies only to logged-in approved accounts.
Payment
Card payments are processed by Stripe. Approved trade accounts may be offered agreed payment terms in writing. Where goods are supplied before payment clears, title is dealt with below.
Genuine and traceable goods
We supply genuine product sourced through authorised UK and EU distribution channels. Provenance documentation, including Certificates of Authenticity where applicable, is available on request.
Digital software licences
Digital licences are delivered electronically, by email and via the order portal. Because the licence key is the product, a digital licence is non-refundable once the key has been delivered or revealed, as supply of the digital content has begun. Activation is subject to the software vendor’s own terms. See also Delivery and Returns.
Hardware and warranty
Warranty on hardware (server memory, GPUs, servers and networking) is the original equipment manufacturer’s warranty, passed through to you. It is OEM-backed, not originated by VeriLicense. We will help you raise and progress a valid claim. Full detail is on the Warranty page.
Title and risk
Risk in physical goods passes to you on delivery. Title to physical goods remains with VeriLicense until we have received payment in full. Digital licences are licensed to you on the vendor’s terms; we do not transfer ownership of the underlying software.
Liability
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence. Subject to that, our liability for a claim connected with an order is limited to the price paid for that order, and we are not liable for indirect or consequential loss, loss of profit or loss of data.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
